Little Crafts London - Wholesale Terms and Conditions

  1. Introduction

    • These terms and conditions apply to all wholesale transactions between Little Crafts London and its trade customers.

  2. Ordering and Pricing

    • All orders shall be placed via email. Upon receipt and confirmation of an order, an official invoice will be sent to the customer detailing the requested items and total amount due.

    • Price Changes: Prices specified in the PDF report are valid for 30 days from issuance. After this window, if no order has been placed, a new PDF price list will be issued, valid for another 30 days and so on.

    • Minimum order quantities vary per product and will be detailed in the provided PDF report sent to customers.

    • Customers may place pre-orders for items. The estimated delivery date for such items will be communicated, but this date may change due to external factors.

    • Taxes: All prices in the PDF are exclusive of VAT. A 20% VAT will be added to the prices upon drafting the invoice.

    • Conflicts: In case of discrepancies, the terms outlined in the initial PDF (with product prices and MOQs) take precedence over these terms and conditions.

  3. Payment Terms

    • Full payment for orders is required upfront.

    • Payments are to be made via bank transfer, with the details provided on the official invoice.

  4. Delivery and Shipping

    • Orders valued under £150 will be charged a shipping fee of £4.99, borne by the buyer. Orders valued over £150 qualify for free shipping.

    • All orders will be shipped via DPD Next Day. The estimated delivery time frame will be communicated to the buyer before the placement of the order.

    • In case of unforeseen delays, customers will be informed promptly. If desired, they can opt to cancel or refund the affected items.

  5. Returns, Damages, and Liability

    • Damaged items must be reported within 72 hours of receipt. Returns must ensure items are in original condition and reported within 14 days of delivery.

    • Product Guarantees or Warranties: Little Crafts London does not assume liability for items upon delivery. Issues must be reported within 72 hours, failing which Little Crafts London will not be held responsible.

  6. Data Protection and Confidentiality

    • We will handle all customer data in accordance with the UK's data protection laws. This includes securely storing data and not sharing it with third-party entities without express consent.

  7. Termination and Cancellation

    • Orders can be cancelled by customers prior to dispatch. After dispatch, cancellations will be treated as returns.

    • Wholesale contracts can be terminated at the discretion of Little Crafts London. Reasons for termination might include, but are not limited to:

      • Repeated late payments or refusal to pay.

      • Misrepresentation of Little Crafts London products.

      • Actions that bring disrepute to the Little Crafts London brand.

      • Breach of any clause in these terms and conditions.

  8. Limitation of Liability

    • Little Crafts London shall not be held liable for any damages, losses, or legal actions resulting from the use or sale of its products by wholesalers. We offer no rights of recourse related to the items.

  9. Additional Terms

    • Force Majeure: Little Crafts London shall not be held liable for failure to perform its obligations if such failure results from events beyond its reasonable control, including natural disasters, strikes, pandemics, etc.

    • Governing Law: These terms are governed by UK law. Disputes should be resolved through arbitration or mediation in the UK.

    • Relationship of Parties: Wholesalers are independent entities and are not employees, partners, or agents of Little Crafts London.

    • Updates to Terms & Conditions: Little Crafts London reserves the right to modify these terms. A link to the current T&Cs will be provided on every invoice. Payment for goods indicates agreement to the stated terms.
